These Terms & Conditions ("Terms") constitute a legally binding agreement between you, whether individually or on behalf of a business entity ("User", "Client", "Business", or "You"), and Winqle Tech Pvt Ltd, operating under the brand name ERP WIN ("ERP WIN", "Winqle Tech", "we", "us", or "our").
By accessing, registering for, subscribing to, or otherwise using ERP WIN in any manner—including but not limited to accessing the website, applications, dashboards, APIs, or any related services (collectively, the "Services")—you confirm that you have read, understood, and agreed to be legally bound by these Terms.
If you do not agree with these Terms, you must immediately discontinue access to and use of the Services.
1. Company Information
ERP WIN is a proprietary software platform developed, owned, and operated by Winqle Tech Pvt Ltd, a company duly incorporated under the laws of the Islamic Republic of Pakistan.
All Services provided under the ERP WIN brand—including software access, subscriptions, billing, customer support, system updates, and related offerings—are provided solely by Winqle Tech Pvt Ltd, unless explicitly stated otherwise in writing.
No partnership, joint venture, agency, or employment relationship is created between you and Winqle Tech by virtue of using the Services.
2. Scope of Services
ERP WIN provides a cloud-based enterprise resource planning (ERP) and business management platform intended to assist businesses in organizing, managing, and analyzing their operational and financial activities.
The Services may include, but are not limited to:
- Accounting and financial management tools
- Sales, billing, and invoicing systems
- Inventory, operations, and process management
- Reporting, dashboards, and analytics
ERP WIN is a modular system. Access to specific features or modules may vary depending on subscription plans, system configuration, regulatory requirements, or technical limitations.
ERP WIN reserves the right, at its sole discretion, to add, modify, enhance, limit, suspend, or discontinue any module, feature, or functionality, either temporarily or permanently. Such changes shall not constitute a breach of these Terms provided the core Services remain substantially available.
3. Eligibility & Account Registration
To access or use ERP WIN, you represent and warrant that:
- You are at least 18 years of age
- You possess the legal authority to act on behalf of the business entity you represent
- You have the legal capacity to enter into binding contractual obligations
During registration, onboarding, and ongoing use, you agree to provide information that is accurate, complete, and kept up to date. ERP WIN relies on the accuracy of this information to deliver the Services effectively.
You acknowledge that providing false, misleading, incomplete, or outdated information may result in limited functionality, suspension, or termination of your account.
You are solely responsible for maintaining the confidentiality and security of your login credentials. All actions performed using your account credentials are deemed to be authorized by you, whether or not such actions were actually performed by you.
You must promptly notify ERP WIN of any suspected or actual unauthorized access, misuse, or security breach relating to your account.
4. User Responsibilities & Acceptable Use
You agree to use ERP WIN responsibly, ethically, and in full compliance with all applicable laws, regulations, and industry standards.
You expressly agree that you shall not, directly or indirectly:
- Use the Services for any unlawful, fraudulent, deceptive, or unauthorized purpose
- Enter or submit false, manipulated, misleading, or fabricated business, financial, tax, or transactional data
- Attempt to access, reverse engineer, interfere with, or compromise ERP WIN systems, APIs, databases, or infrastructure
- Disrupt, degrade, overload, or impair the performance, integrity, or security of the Services
ERP WIN reserves the right to monitor system usage, logs, and activity patterns to ensure compliance with these Terms. Any violation may result in corrective action, including but not limited to access restriction, suspension, or termination, without liability to ERP WIN.
5. Subscription, Pricing & Billing
ERP WIN is offered on a subscription basis unless explicitly stated otherwise in writing.
All subscription plans, pricing details, billing frequencies, invoice generation timelines, and payment-related terms are clearly displayed within the ERP WIN platform or communicated through official ERP WIN channels.
Invoices are generated in advance in accordance with the applicable billing cycle. Payment is due strictly on the invoice due date stated on the invoice, without deduction or set-off.
Failure to pay invoices on time results in automated enforcement of ERP WIN's payment status lifecycle, which governs system access, reminders, restrictions, suspension, and eventual termination.

Detailed Interpretation of Payment Stages
Active / Due Stage
During this stage, the account remains fully functional. The invoice is issued in advance to allow sufficient time for review and payment. Soft reminders may be sent as courtesy notifications.
Grace Period
If payment is not received by the due date, the invoice status changes to overdue. Full access remains available to avoid immediate business disruption, while overdue notices are issued.
Semi-Access
Continued non-payment results in restricted access. The account is placed in read-only mode. Users may view reports and historical data but are unable to create, modify, or submit transactions.
Full Ban
Prolonged non-payment leads to suspension. Access is limited strictly to recovery actions, including invoice settlement and data backup download. No operational features are available.
Deletion
After extended non-payment, the account is terminated. All stored data is permanently deleted. ERP WIN is under no obligation to retain or restore data after deletion.
ERP WIN may apply these measures automatically and without additional notice once the relevant time thresholds are reached.
ERP WIN reserves the right to revise pricing or subscription terms, subject to prior notice.
6. Service Availability
ERP WIN endeavors to provide reliable and continuous access to the Services. However, uninterrupted or error-free operation cannot be guaranteed.
Temporary interruptions may occur due to scheduled maintenance, system upgrades, security measures, or technical issues. ERP WIN shall not be liable for service interruptions caused by events beyond its reasonable control.
7. Data Ownership & Intellectual Property
All software, system architecture, source code, designs, documentation, trademarks, logos, and platform content are the exclusive intellectual property of Winqle Tech Pvt Ltd.
Users retain ownership of the business data they input into ERP WIN. By using the Services, you grant ERP WIN a limited, non-exclusive, and revocable right to store, process, and manage such data solely for the purpose of delivering, maintaining, and improving the Services.
8. Limitation of Liability
To the maximum extent permitted by law:
- ERP WIN shall not be liable for any indirect, incidental, consequential, special, or punitive damages
- ERP WIN shall not be responsible for business losses, compliance failures, regulatory outcomes, or decisions made based on system-generated information
- ERP WIN's total cumulative liability shall not exceed the total subscription fees paid by the user during the twelve (12) months immediately preceding the claim.
9. Suspension & Termination
ERP WIN may restrict, suspend, or terminate access to the Services if:
- These Terms are violated
- Payment obligations are not met
- Applicable laws or regulations are breached
Suspension, restriction, termination, and data deletion follow the payment lifecycle described in Section 5.
Users may stop using the Services at any time; however, all outstanding invoices remain payable.
10. Amendments to Terms
ERP WIN reserves the right to revise or update these Terms periodically. Updated Terms will be published within the platform or through official ERP WIN communication channels.
Continued use of the Services after such updates constitutes acceptance of the revised Terms.
11. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Pakistan. Courts located within Pakistan shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Services.
12. Service-Specific Provisions
Certain ERP WIN modules or services may be subject to additional technical, operational, or regulatory requirements. Where applicable, such provisions will be communicated within the relevant module or documentation and shall form an integral part of these Terms.
